Terms of Service

These Terms of Service (“Terms”) govern access to and use of Spectosoft (the “Service”) provided by Klizo Solutions Pvt. Ltd.. By accessing or using the Service, you agree to be bound by these Terms.

Definitions

Customer
The organization subscribing to the Service.
Authorized Users
Customer's employees, contractors, or agents who use the Service or whose devices are enrolled.
Customer Data
Data processed on behalf of the Customer (including monitoring data).
Subscription
Paid plan (including seats and billing cycle) purchased via Stripe.

Account Registration & Access

Customer is solely responsible for:

  • Maintaining accurate and up-to-date account information
  • Securing login credentials and administrative access
  • Managing roles, permissions, and device enrollment
  • All activities conducted under its account

Acceptable Use

Customer and Authorized Users must not:

  • Use the Service for unlawful purposes
  • Attempt to bypass security measures, rate limits, or access controls
  • Reverse engineer, decompile, or disrupt the Service
  • Upload malicious code or exploit vulnerabilities

The Service

Spectosoft includes a desktop agent for company-managed devices, a web dashboard, and optional features such as activity timelines, screenshots, session recordings, productivity profiles and rules, behavior policies, Threat Replay, reports, organization and role management, data retention controls, and AI-assisted analytics on eligible plans.

Feature availability depends on the subscription plan selected by the Customer. We may update features from time to time; material changes will be communicated through the Service or website where practicable.

Workplace Monitoring & Compliance

Customer represents and warrants that it:

  • Has the legal authority to monitor devices and Authorized Users as configured
  • Deploys the agent only on devices it owns or is permitted to monitor
  • Provides all required notices and obtains necessary consents before monitoring begins
  • Uses the Service in compliance with applicable employment, labor, and privacy laws
  • Configures productivity rules, screenshots, recordings, and behavior policies responsibly

Subscription, Billing & Payments

  • Billing is processed through Stripe
  • Fees are based on selected plan, seat count, and billing cycle
  • Applicable taxes may be charged
  • If payment fails, access to the Service may be suspended or restricted

Trials, Demos & Marketing

We may offer free trials, demonstrations, or evaluation access at our discretion. Trial terms (duration, seat limits, enabled features) are described at signup or in order documentation.

Information submitted through demo or contact forms on our website is used to respond to inquiries and improve our services, as described in our Privacy Policy.

Seat Changes & Plan Modifications

Customers may increase or decrease seat counts as per plan rules. Changes may result in prorated charges or immediate billing adjustments, depending on billing configuration.

Intellectual Property

We retain all rights, title, and interest in the Service, including all software, documentation, and related materials.

Customer retains full ownership of all Customer Data submitted to or processed through the Service.

Customer Data License

Customer grants us a limited, non-exclusive license to:

  • Host, process, and display Customer Data
  • Solely for the purpose of providing and improving the Service

Confidentiality

Both parties agree to:

  • Protect confidential information using reasonable care
  • Not disclose such information except as required to perform obligations or by law

Security

We implement reasonable technical and organizational security measures to protect the Service.

Customer is responsible for securing devices and endpoints, maintaining admin access hygiene, and preventing unauthorized access to accounts.

Termination

Customer may stop using the Service at any time.

We may suspend or terminate access for breach of these Terms, non-payment, or security risks or misuse.

Upon termination, Customer Data will be handled per the Privacy Policy, applicable agreements, and law. Customers should export data they need before cancellation. Monitoring data may be deleted or retained for a limited period as required for backups, disputes, or legal obligations.

Disclaimers

The Service is provided "as is" and "as available."

We do not guarantee uninterrupted or error-free operation, or accuracy of analytics or monitoring outputs.

Limitation of Liability

To the maximum extent permitted by law, our total liability is limited to fees paid by Customer in the last 3 months.

We are not liable for indirect, incidental, or consequential damages, including loss of data, revenue, or business opportunities.

Indemnification

Customer agrees to indemnify and hold us harmless against claims arising from:

  • Unlawful monitoring practices
  • Misuse of the Service
  • Violation of applicable laws or third-party rights

Governing Law & Dispute Resolution

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of courts located in Kolkata, West Bengal.
